Agent & Broker Agreement

This Agent & Broker Agreement (“Agreement”) governs participation by real-estate agents, brokers, agencies, developers, property managers, and other professional property advertisers (“Professional User”) on the KIYRAY Real Estate Platform.

By registering as or using a Professional User account, you agree to this Agreement, the KIYRAY Terms and Conditions, Property Listing Rules, Privacy Policy, Refund Policy, and User Safety & Fraud Policy.

1. Purpose

KIYRAY provides technology and marketplace services that allow Professional Users to advertise properties and connect with prospective buyers, tenants, sellers, landlords, and other users.

Unless expressly agreed otherwise, KIYRAY does not act as the Professional User’s broker, agent, employee, legal representative, or fiduciary.

2. Professional Representation

The Professional User represents that all information provided to KIYRAY is truthful, current, and complete.

The Professional User must not claim:

To hold a license or registration they do not hold;
To represent an agency they are not authorized to represent;
To represent a property owner without authorization;
To be affiliated with KIYRAY unless expressly authorized;
To possess qualifications they do not possess.

3. Legal Compliance

The Professional User is solely responsible for complying with laws and regulations applicable to their professional activities.

This includes, where applicable:

Real-estate licensing or qualification requirements;
Property marketing requirements;
Advertising requirements;
Consumer-protection requirements;
Tax requirements;
Anti-fraud requirements;
Data-protection requirements;
Anti-money-laundering requirements;
Applicable local and federal requirements.

KIYRAY’s acceptance of an account does not constitute a determination that the Professional User is legally qualified to perform real-estate services.

4. Verification

KIYRAY may request information or documents to verify a Professional User.

Possible verification information may include:

Government-issued identification;
Business registration;
Professional license;
Developer qualification;
Agency information;
Business address;
Contact information;
Property-owner authorization;
Other documentation reasonably necessary for verification.

Verification may be required before publishing certain listings or accessing professional features.

5. Property Authorization

The Professional User must have authority to advertise every property submitted to KIYRAY.

The Professional User must not:

Advertise another person’s property without authorization;
Continue advertising a property after authorization ends;
Misrepresent ownership;
Misrepresent exclusive representation;
Claim a property is under their control when it is not.

6. Accurate Advertising

Professional Users must provide accurate:

Property descriptions;
Prices;
Locations;
Measurements;
Availability;
Images;
Amenities;
Construction status;
Development information;
Ownership or authorization information.

Material changes must be promptly updated.

7. Client Communications

Professional Users must communicate honestly and professionally with KIYRAY users.

They must not use KIYRAY to:

Harass users;
Spam users;
Threaten users;
Mislead users;
Collect information for unrelated purposes;
Send unauthorized bulk marketing;
Engage in discriminatory or unlawful conduct.

8. Fees and Commissions

Any commission or fee charged by a Professional User to a client is a matter between the Professional User and client unless KIYRAY expressly provides a transaction service.

KIYRAY does not determine or guarantee a Professional User’s commission.

Professional Users must clearly disclose applicable fees where required.

9. Off-Platform Transactions

Users may communicate and complete transactions outside KIYRAY.

However, Professional Users remain responsible for complying with applicable law and these professional obligations.

KIYRAY does not guarantee transactions completed outside the Platform.

10. KIYRAY Leads

Where KIYRAY provides inquiries or leads, the Professional User agrees to use them only for legitimate property-related purposes.

Professional Users must not sell, transfer, or misuse KIYRAY-generated leads without authorization.

11. Customer Data

Professional Users may receive personal information from prospective buyers, sellers, tenants, or landlords.

Professional Users must:

Use such information only for legitimate purposes;
Protect it from unauthorized access;
Not sell it without lawful authorization;
Not disclose it improperly;
Comply with applicable privacy laws.

12. Reviews and Complaints

KIYRAY may allow users to review Professional Users.

KIYRAY may investigate complaints concerning:

Fraud;
False listings;
Misrepresentation;
Unauthorized advertising;
Unprofessional conduct;
Privacy violations;
Harassment;
Payment-related misconduct.

13. Suspension

KIYRAY may suspend or restrict professional accounts when there is a reasonable concern regarding:

Fraud;
False information;
Unauthorized listings;
Legal violations;
Repeated complaints;
Security risks;
Abuse of KIYRAY’s Platform.

14. Termination

Either party may terminate the professional relationship subject to outstanding obligations.

KIYRAY may terminate immediately where necessary to protect users, the Platform, or comply with law.

15. No Guarantee of Leads

KIYRAY does not guarantee:

A minimum number of inquiries;
A minimum number of leads;
Property sales;
Property rentals;
Revenue;
Search ranking;
Conversion rates.

16. Promotional Placement

Professional Users may purchase promotional services.

Featured placement is an advertising service and does not constitute KIYRAY’s endorsement, certification, ownership verification, valuation, or guarantee of the property.
